Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BidLoom platform ("Service"), operated by Balan Bogdan Valentin, a sole proprietorship registered in Greece (ΑΦΜ: 194465389) ("we", "us", "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
BidLoom is a software-as-a-service (SaaS) platform that helps commercial cleaning companies create bids and proposals. The Service includes bid creation tools, calculation engines, template management, PDF proposal generation, and client management features.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. The Service is intended for use by businesses and professionals in the commercial cleaning industry. By using the Service, you represent that you meet these requirements.
3. Accounts
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription Plans and Billing
4.1 Plans
The Service offers a free tier and paid subscription plans (Starter, Professional, Business). Plan features and limits are described on our pricing page. We reserve the right to modify plan features and pricing with 30 days' prior notice.
4.2 Payment
Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe. All prices are displayed in US Dollars (USD). For customers in the European Union, applicable VAT will be added at checkout as required by law.
4.3 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your subscription remains active until the end of the current billing period. No partial refunds are issued for unused time within a billing period.
4.4 Free Trial and Free Tier
The free tier allows limited use of the Service (currently 3 bids). No credit card is required. The free tier may be modified or discontinued at any time.

6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit malware, spam, or harmful content
- Resell, sublicense, or redistribute the Service without our written consent
- Use automated tools to scrape data from the Service
7. Your Data
7.1 Ownership
You retain full ownership of the data you enter into the Service, including bid details, client information, company settings, and generated proposals ("Your Data"). We do not claim any ownership or intellectual property rights over Your Data.
7.2 License to Us
You grant us a limited, non-exclusive license to process, store, and display Your Data solely for the purpose of providing and improving the Service.
7.3 Data Export
You may export your bid data and proposals at any time using the Service's export features (PDF download). Upon account deletion, all Your Data is permanently removed from our systems.
7.4 Data Processing
We process Your Data in accordance with our Privacy Policy and applicable data protection laws, including the EU General Data Protection Regulation (GDPR).
8. Intellectual Property
The Service, including its design, code, features, documentation, and ISSA-based rate data compilations, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
9. Third-Party Services
The Service integrates with third-party services including Clerk (authentication), Stripe (payments), and Neon (database hosting). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or actions of third-party services.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Bid calculations, production rates, and cost estimates are provided as tools to assist your business decisions and are not guarantees of accuracy. You are responsible for verifying all bid amounts before submitting proposals to your clients.
11. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 7.1 (data ownership), 10 (disclaimer), 11 (liability), and 12 (indemnification) survive termination.
15. Governing Law and Disputes
These Terms are governed by the laws of Greece, without regard to conflict of law principles. For EU consumers, mandatory consumer protection laws of your country of residence apply to the extent they provide greater protection.
Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of Athens, Greece. EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
